Cayuse, Inc. ("Cayuse" or "we") respects your individual privacy. This privacy policy documents our adherence to our high standards for the protection of your personal information. The policy is effective as of March 1, 2008, applies to information collected through the Cayuse sites Cayuse.com and Subawards.com and any secure sites utilized by these two sites for administrative purposes (together referred to as the "site").

This policy covers the following areas:

• What personally identifiable information is collected by Cayuse or by any third party through our site;
• How Cayuse uses this information;
• With whom Cayuse may share this information;
• What choices are available to you as a user of the site with respect to collection, use and distribution of the information;

Information Collection and Use Cayuse collects information on the site at three different stages. First, we collect anonymous, aggregate information (such as domain name or IP address) from all visitors to the site through systems administrative data or cookies. This aggregate data collection occurs for all site visitors whether you are registered with Cayuse, otherwise a Cayuse customer or user, or not. This type of information is never linked to any personally identifiable information and will never be used to identify you to third parties unless otherwise permitted by this Privacy Policy.

Second, we collect name, address, email and other contact information on our Contact Us form. This information is collected for those who wish to receive electronic communications from Cayuse, whether you are registered with Cayuse, otherwise a Cayuse customer or user, or not. This information is used to respond to inquiries from you to us and for any purposes permitted by this Privacy Policy.

Third, we collect contact, institutional, registration and payment information for certain subscription transactions and for creating registered accounts. This information is collected from Cayuse customers and users who will access the site in order to use software-based services of Cayuse for yourself or your institution, as the case may be. This information is used solely for the purpose of the stated transaction, and for any purposes permitted by this Privacy Policy.

Personal Information of Children Under 13 Cayuse complies with the requirements of the Childrens Online Privacy Protection Act (COPPA) and the FTC's Rule interpreting COPPA (16 CFR S 512). This site is not directed to children and we do not knowingly collect any personally identifiable information from children under 13 years of age through this site.

Use of Your Personal Information Unless you agree separately or as provided under this policy, Cayuse will not sell, rent, or share customer information to or with any third party not affiliated with or owned by Cayuse, except service providers who may assist Cayuse to deliver its services through such functions as data storage and order processing. Without your consent, Cayuse will never give or sell your personal information to be used for the purposes of sending you unsolicited commercial offers (such as spam) from any third party. Of course, if you have completed our Contact Us form and asked to receive certain types of communications from Cayuse or third parties working with Cayuse, we will share any of your personal information necessary for such approved communications. Cayuse or its service providers may also need to contact you for administrative purposes for which you have not expressly consented, as for example regarding the status of the Cayuse site or your account. You may not opt-out of these kinds of administrative communications.

Use of Aggregate Information We store information that we collect through log files to create an anonymous usage profile of our users, detailing how individual customers use the site. Log files record internet protocol (IP) addresses, browser types, internet service provider (ISP), referring/exit pages, platform type, date/time stamp, and number of clicks to analyze trends, administer the site, track a customer's movement in the aggregate, and gather broad demographic information for aggregate use. Individual data, such as IP addresses, and the usage profile are not linked to personally identifiable information of a user. We may use any and all of this aggregate information for any purpose whatsoever, so long as it cannot be used to identify an individual user.

Disclosure of Personal Information As Required By Law We will disclose personal information when required by law, or if we have a good-faith belief that such action is necessary to (a) comply with a current judicial proceeding, a court order or legal process served on us, (b) protect and defend our rights, or (c) protect the rights, property, and other interests of our users or others.

Business Transitions In the event Cayuse goes through a business transition, such as a merger, acquisition by another company, or sale of a portion of its assets, our customers' personal information may be part of the assets transferred. Through this process we will give your personal information to the new owners of the Cayuse business, but since they are the successors to Cayuse for this purpose, you cannot stop these types of transfers. However, the information transferred or shared remains subject to the promises made in any previously applicable privacy policy, unless you agree to new terms.

Security Cayuse takes commercially reasonable precautions to protect your information. For example, we encrypt certain registration and purchase order communications through our site with 128-bit encryption. However, given the nature of the Internet and the fact that network security measures are not infallible, we cannot guarantee the security of your information. We maintain notification procedures as part of our information security policy, to be used in the event of a data security breach. If we are required to provide notice to you of a data security breach, the notice will be provided in electronic form.

While we use encryption to protect certain information online, we also make an effort to protect your information off-line. All of our customers' information, not just the encrypted information mentioned above, is restricted in our offices. Only employees who need the information to perform a specific job (for example, our billing clerk or a customer service representative) are granted access to personally identifiable information. All employees are kept up-to-date on our security and privacy practices. Finally, the servers that store your personally identifiable information are housed in a secure environment.

If you register for access to a secure area of the site, we will ask you to select a username and password. You should not divulge your password to anyone. We will never ask you for your password in an unsolicited phone call or in an unsolicited email. Also, remember to sign out of the registered site and close your browser window when you have finished your work. This is to ensure that others cannot access your personal information and correspondence when accessing your computer.

Correcting, Updating, Deleting and Deactivating Personal Information If your personally identifiable information changes, you may contact us to correct, update or delete and deactivate our record of your personally identifiable information.

Notification of Changes If we decide to change our privacy policy, we will prominently post a notice on the main page and other pages to alert you about the change. If the privacy policy changes materially so that we are going to use your personally identifiable information in a manner different from that stated at the time of collection, we will notify you via the email address you provided to us and give you a choice as to whether or not we may use your information in this different manner. . However, if you deleted and deactivated your account, then you will not be contacted and your personal information will not be used in this new manner. In addition, if we make any material changes in our privacy practices that affect customer information already stored in our database, we will post a prominent notice on our Web site notifying customers of the change. In some cases where we post a notice we will also email customers, who have opted to receive communications from us, notifying them of the changes in our privacy practices.
